NEW CAMPAIGN SERVICE AGREEMENT
Defined work.
Clear ownership.
Effective August 28, 2026
This Service Agreement (“Agreement”) is between Calven Marketing LLC, operating as Calven Marketing (“Calven”), and the person or business purchasing the service (“Client”). It applies only to the $2,000 New Campaign service shown at checkout. Existing Campaign Takeover and continued management require separate terms. By accepting this Agreement and completing payment through Stripe, Client accepts it electronically.
Service and fee
Client purchases one Google Ads Campaign Build and 30-Day Optimization for a one-time service fee of $2,000 USD, paid in full before onboarding. Advertising-platform spend, website development, paid third-party tools, taxes when applicable, and services not expressly listed below are not included.
Campaign format
Client may request Search, Display or Demand Gen, Video or YouTube, Shopping or product advertising, or may ask Calven to recommend the best format. A selected format is a preference for Calven to evaluate, not a guarantee that it is suitable or launch-ready. Calven may recommend another supported Google Ads structure based on the offer, objective, budget, demand, website, measurement, policy requirements, account condition, product data, and finished creative available. Any material change from Client's requested direction will be discussed during final review.
Standard scope
The service includes a website and conversion-path audit with recommendations; strategy and research; the build and launch of one Google Ads campaign; settings, targeting, bidding, budget, schedule, ad copy, standard platform assets, exclusions, product selection, audience direction, and other configuration reasonably applicable to the approved campaign format; Google Ads conversion tracking; Google Analytics 4 and Google Tag Manager setup when the required access and platform support are available; 30 calendar days of campaign monitoring and reasonable optimization beginning on the campaign launch date; final client review before launch; and a final handoff.
Visual, video, and product campaigns use finished client-supplied or client-approved existing assets, product information, website media, video links, and product sources that are reasonably usable. Calven may make normal technical and format adjustments needed to fit Google Ads. Client may request changes during final review before launch.
Required creative and product readiness
Calven does not create missing images or video as part of this service. If a selected format requires images or video that are not finished and ready, Client must save the onboarding and return after providing them, or choose another campaign format. Shopping requires usable product images and a usable store sync, feed, spreadsheet, or other product source for the products Client wants advertised.
Calven is not required to launch a format that lacks the finished creative, product images, product data, account readiness, or measurement access reasonably required to operate it. Original photography, original illustration, original video production, substantial video editing, voice or music licensing, custom design systems, missing product photography, major product-feed reconstruction, product-page rebuilding, custom development, substantial tracking systems, additional campaigns, and other work not listed in the standard scope are not included in this purchase.
Client materials and rights
Client is responsible for having the legal right to submit and advertise every logo, image, video, recording, voice, likeness, testimonial, product claim, catalog, feed, document, and linked source provided to Calven. By submitting material, Client confirms that the business owns it or has permission to use it in advertising. Calven may refuse material that appears unlawful, misleading, unauthorized, unsafe, technically unsuitable, or inconsistent with platform policy. Calven's acceptance of a file does not independently verify copyright, trademark, model-release, music, endorsement, or other rights.
Refund and cancellation
Client may request a full refund before submitting the detailed campaign intake. Submission of the detailed intake authorizes Calven to begin work. After the intake is submitted, the $2,000 service fee is nonrefundable except where required by law or where Calven cancels because the work cannot legally or practically be performed. If Calven cancels for that reason, Calven may issue a full or appropriate partial refund based on work already completed, as permitted by law.
Calven may refuse, pause, or cancel work involving unlawful activity, misleading claims, prohibited or restricted advertising, unavailable access, material misrepresentation, abusive conduct, or circumstances that make responsible performance impractical.
Timing and client responsibilities
Any schedule depends on Client providing accurate information, timely decisions, required account and website access, advertising-platform billing, approvals, finished creative or product data when applicable, and responsive communication. Client must comply with applicable law and Google policies. Client must not send passwords, card numbers, recovery codes, or other authentication secrets through the intake.
Delays caused by Client, Google, a website platform, a third-party provider, policy review, missing creative, Merchant Center or feed issues, account suspension, billing failure, or unavailable access extend the schedule. Client may save and return to onboarding when required assets or information are not ready. If Client does not provide required information, assets, or access for 30 days after Calven requests it, Calven may place the project on hold and reschedule remaining work.
Advertising spend and account ownership
Client funds Google Ads separately through Client's own billing relationship with Google. Calven does not mark up or take custody of the advertising budget. Client owns the Google Ads account, campaign history, billing relationship, client-owned creative, Merchant Center, YouTube channel, product sources, and measurement assets. Calven retains ownership of its internal methods, templates, research systems, processes, and general know-how.
Measurement limitations
Tracking depends on available website, analytics, consent, platform, checkout, product, and account access. Browser restrictions, cookie choices, privacy settings, cross-domain systems, third-party checkouts, phone calls, offline sales, product-feed behavior, and later website changes can limit measurement. Calven will make reasonable efforts to configure and test the agreed tracking foundation but cannot guarantee that every action or value will be captured.
No guaranteed results
Calven does not guarantee Google's approval, product approval, campaign delivery, impressions, views, clicks, leads, sales, revenue, profitability, cost per result, or return on advertising spend. Outcomes depend on demand, competition, budget, the offer, creative, product data, website experience, pricing, reputation, sales follow-up, platform decisions, and other factors outside Calven's control.
30-day optimization and handoff
The included optimization period begins on the campaign launch date. Calven may review search terms where applicable, add exclusions, confirm tracking, adjust ads, audiences, products, creative combinations, and settings, and make reasonable performance changes based on the data available. At the end of the period, Calven completes the handoff. Ongoing management is not included and will not begin automatically.
Confidentiality and data
Each party will use reasonable care with confidential information received for the project. Calven may use professional software and service providers to store, process, research, communicate, and perform the service, subject to Calven's Privacy Policy. Client is responsible for having the right to provide all submitted material and data.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages arising from the service. Calven's total liability arising from this Agreement will not exceed the service fee Client paid for this engagement. This section does not limit liability that cannot legally be limited.
General terms
This Agreement and the Privacy Policy form the entire agreement for the New Campaign service. If one provision is unenforceable, the remaining provisions continue. Georgia law governs this Agreement without regard to conflict-of-law rules. Electronic records and acceptance have the same effect as paper records and signatures.
